Wholesale Terms

These terms apply to every approved Rebend Industries wholesale account in the United States. Submitting a wholesale application or placing a wholesale order means you accept them.
1Your account
Wholesale accounts are for genuine resale businesses. We review every application and approve accounts at our discretion. Accounts are non-exclusive, and no territory is granted or implied. Your trade pricing is confidential, don't publish it or share it outside your business.
2Ordering
Minimum order is 10 units, and orders run in multiples of 10 per color. Volume price breaks apply per color, not across the order. Current trade pricing is shown in the wholesale portal when you're signed in.
3Payment
Orders are paid at checkout by card or ACH bank transfer. Nothing is auto-debited. ACH payments ship once the payment clears. Net 30 terms are available to established accounts by approved credit application, and invoices on terms are due in full by their due date. Accounts with overdue invoices can't place new orders until the balance is cleared.
4Sales tax and resale certificates
Orders are charged applicable sales tax where we're required to collect it, unless we hold a valid resale certificate for your business. Send us your certificate at any time and we'll set your account tax-exempt. You're responsible for collecting and remitting tax on your own sales.
5Shipping
Wholesale orders ship free within the lower 48 states. Alaska, Hawaii and US territories are quoted case by case.
6Where you can sell
You can sell Rebend products in your own physical stores and on your own website. Selling on third-party marketplaces, including Amazon, eBay, Walmart Marketplace, Etsy and similar platforms, is not permitted without our written approval. This protects the brand and every store that stocks it.
7Minimum advertised price (MAP)
We maintain a MAP policy on all Rebend products. The MAP for each product is its current recommended retail price as published by us (Constricta Multi Pot Grip: $31.00 USD per unit). Don't advertise any Rebend product below MAP in any medium, including websites, marketplaces, social media, email, print and signage.
This policy applies only to advertised prices. You are always free to sell at any price you choose. From time to time we may authorize promotions in writing, and any temporary MAP change will come from us directly.
This is a unilateral policy: we determine violations at our sole discretion, and we don't negotiate or agree advertised pricing with any reseller. If advertising falls below MAP, we'll flag it, and continued violations lead to supply being suspended or the account closed.
8Brand and product presentation
We'll supply product images and brand assets on request, use them as provided. Don't alter the product, its packaging or branding, don't rebrand or white-label it, and don't represent yourself as Rebend Industries. Constricta is a protected design (US Pat. D1,099,640, utility patent pending).
9Damaged stock, warranty and returns
Check every delivery when it lands. Transit damage or short shipments must be reported within 5 business days of delivery, and we'll replace or credit what's affected. Beyond that, every unit carries a 12-month warranty against manufacturing defects, and defective units are replaced and reshipped at no charge. General wear and tear is excluded, for example tension legs that gradually relax with use and stop springing back to the smaller can size. Wholesale orders aren't returnable for change of mind, and we don't buy back unsold stock unless agreed in writing.
10Account standing
We may decline, suspend or close any wholesale account at our discretion, including for breaches of these terms. Orders already paid and shipped aren't affected. We may update these terms from time to time, and the current version always lives on this page.
